Terms of Service
1. Introduction and Acceptance
These Terms of Service (the "Agreement") are entered into by and between JNJ WEB AGENCY ("JNJ Web Agency," "we," "us," or "our") and the customer identified below ("Customer" or "you").
By signing, clicking "I Agree," purchasing any service, or otherwise accepting this Agreement, you confirm that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree, do not purchase or use our services.

2. Customer Information
The "Customer" is the individual or entity purchasing services. You agree to provide accurate, complete, and current information, including: Customer legal name; Business name; Billing contact; Email; Address.
You are responsible for keeping your account information accurate and up to date. Providing false or inaccurate information may result in suspension or termination of services.
3. Eligibility and Authority
By accepting this Agreement, you represent that you have the legal authority to enter into this Agreement on your own behalf or on behalf of the organization you represent.
Because the business owner of JNJ Web Agency is a minor, certain contracts may require the acceptance, authorization, or participation of a parent, legal guardian, or other legally authorized adult where required by applicable law. Nothing in this Agreement is intended to claim that a minor may automatically enter into every type of contract. Where a parent or guardian's authorization is legally required, that authorization must be provided before services begin.
4. Services
JNJ Web Agency provides website design and development, website hosting, website maintenance, website updates and edits, domain setup and management assistance, basic technical support, website backups when specifically included in your plan, and other web-related services agreed to in writing.
The exact services provided are determined by your order, proposal, invoice, statement of work, or service plan. In the event of any conflict, the documents governing your specific order control the scope of services.
5. Project Scope
The original project scope is defined in your statement of work, proposal, or order. Work beyond that original scope counts as additional work and may result in additional charges.
Revisions are limited to 15 revision rounds per project phase. Additional revisions are billed at $15/revision. Major changes to the original project — including new pages, new features, or significant design changes — are treated as new scope: we will quote the additional cost in writing before doing that work, separate from and in addition to your build price.
To request changes, contact us in writing at jrbusiness790@gmail.com. Project timelines depend on you providing necessary information, content, approvals, and feedback in a timely manner.
6. Customer Responsibilities
You agree to: provide accurate information; provide content you have the legal right to use; provide logos, photos, text, videos, and other materials when necessary; review and approve your website; keep account credentials secure; notify us promptly about security concerns; and ensure your website complies with laws applicable to your business.
You are responsible for the legality of all content you provide. JNJ Web Agency is not responsible for verifying the legality, accuracy, or ownership of content you supply.
7. Content and Intellectual Property
A. Customer-provided content remains your property. B. Upon full payment, the custom website work created specifically for you is transferred to you to the extent stated in your order. C. Reusable code, frameworks, templates, tools, libraries, components, and systems owned by JNJ Web Agency remain our property and are not transferred to you, even when used to build your website. D. Third-party and open-source software used in your project remain subject to their own licenses.
Nothing in this Agreement transfers ownership of our reusable tools, code, templates, systems, or intellectual property simply because they were used to build your website. Third-party software, fonts, images, plugins, APIs, themes, and other materials may be subject to their own separate licenses.
While we are actively hosting and maintaining your website, JNJ Web Agency retains ownership and control of the live website and its code so that we can make changes, apply updates, and keep it running. When you choose to leave or part ways with us, ownership of your website (the custom code we built for you) transfers to you upon full payment, and we will provide your website files as described in the Website Transfer / Migration section so you can take it with you.
8. Customer Content License
You grant JNJ Web Agency a limited license to use your content only as reasonably necessary to provide the contracted services — including hosting, maintaining, backing up, troubleshooting, and supporting your website.
We do not claim ownership of your content. This license ends when the services end, except where necessary to maintain backups or comply with legal obligations.
9. Domain Names
Domain names may be registered through third-party registrars. You are ultimately responsible for maintaining accurate registration information. Domain registration fees may be separate from our service fees, and domain availability cannot be guaranteed.
Domain ownership and registration should be clearly identified in your order. We may assist with domain management without necessarily owning the domain ourselves.
10. Hosting Services
Hosting is provided through our infrastructure provider, Base44. Our hosting fees, billing periods, server availability, maintenance schedules, and resource limits (storage and bandwidth) are congruent with, and subject to, Base44's platform policies and service levels. Our intended uptime target is 99.9%, but we do not promise 100% uptime.
Scheduled maintenance, unexpected outages, security incidents, server migrations, and suspension of hosting are handled in line with Base44's platform capabilities. We will provide reasonable notice for scheduled maintenance when possible.
You own the data and content on the websites we build and host for you, consistent with Section 7 (Content and Intellectual Property). To the fullest extent permitted by law, JNJ Web Agency is not responsible for data leaks, breaches, or unauthorized access arising from circumstances beyond our reasonable control, including third-party infrastructure failures.
11. Backups and Data Loss
Backups are included only when specifically stated in your service plan. Our backup practices are congruent with Base44's platform backup capabilities. Backups reduce risk but cannot guarantee that every piece of data can always be restored.

12. Maintenance and Support
Maintenance includes routine updates, monitoring, and minor edits as defined in your plan. It does not include new feature development, major redesigns, or work outside your plan's scope.
Normal support hours are 9am-5pm Mon-Fri. Expected response times are 4 hours. Work outside your plan is billed at $150/hour. We do not promise immediate response unless a specific service level is selected.
13. Third-Party Services
Websites may depend on third-party providers such as domain registrars, hosting infrastructure (including Base44), cloud providers, payment processors, analytics services, email providers, plugins, APIs, CDN providers, and DNS providers.
To the extent permitted by law, JNJ Web Agency is not responsible for failures, outages, or changes caused by third-party services.
14. Payment and Billing
Project deposits, payment deadlines, monthly hosting fees, and maintenance fees are set in your order or invoice. Payment deadline: Within 24 hours of the site going live; Monthly hosting: $79, $129, and $179; Maintenance: $5-$20.
You are responsible for applicable taxes. Refunds are governed by our refund policy; all payments are final unless otherwise stated in writing. Chargebacks that violate this Agreement may result in suspension. Suspension for nonpayment does not relieve you of payment obligations.
Late payment (defined): If a monthly hosting or maintenance payment is not received by its due date, your website will be paused (suspended) and remain unavailable to visitors until all past-due amounts are paid in full and brought up to date. No separate late fee is charged beyond the outstanding balance, but no updates, edits, or support work will be performed while the account is past due.
Update fee (Essential plan): The Essential plan covers hosting, domain, and security only — it does not include updates or maintenance. If you want a change made to your website while on the Essential plan, an update fee of $5 to $20 applies depending on the complexity of the requested change, and we will quote the exact fee before any work begins. The Managed and Complete plans include maintenance and updates as described in the Service Plans Overview section.
15. Cancellation and Termination
Either party may terminate this Agreement as described here. Customer cancellation: 24hrs before the next deadline. Business termination: we may terminate for nonpayment, abuse, illegal activity, or repeated violations of this Agreement, with notice where reasonable.
Upon termination, hosting continues only for the period already paid for, after which it is suspended. You are responsible for exporting your content before termination. After termination, we may delete your website and data after the data retention period, except where retention is legally required.
16. Website Transfer / Migration
If you wish to move your website to another provider, we will reasonably cooperate. Placeholders: Migration fees: Files provided: Non-transferable items: The domain transfer process are all things we can help with, but they are only available after all outstanding balances are paid in full.
17. Acceptable Use Policy
You may not use our services for illegal activity, fraud, phishing, malware distribution, hacking, attacks against other systems, copyright infringement, distribution of malicious software, spam, abuse of server resources, or any activity that could harm the infrastructure or other customers.
We may suspend or terminate services when reasonably necessary to protect the infrastructure, other customers, or to comply with law.
18. Security
We follow reasonable security practices consistent with our infrastructure provider, Base44. Our security measures are congruent with Base44's platform security capabilities.
No internet-connected system can be guaranteed to be completely secure. You are responsible for securing your own credentials and account access. You own the data on the websites we build for you (see Section 7), and JNJ Web Agency is not responsible for leaks or unauthorized access to the extent permitted by law.
19. Privacy and Personal Information
We may process information necessary to provide services. Our handling of personal information is described in our separate Privacy Policy, available right next to the Terms of Service link.
This Terms of Service is not a complete Privacy Policy. Please review the Privacy Policy for details on how personal information is collected, used, and protected.
20. Warranties
We warrant that services will be performed in a professional, workmanlike manner consistent with this Agreement. We do not warrant perfect uptime, perfect security, guaranteed search engine rankings, guaranteed sales, guaranteed traffic, guaranteed business results, compatibility with every device or browser, or permanent availability of third-party services.
21. Disclaimer
Services are provided according to this Agreement and applicable law. Except as expressly stated, services are provided "as is" and "as available." We do not disclaim liability for matters that legally cannot be disclaimed.
22. Limitation of Liability
To the extent permitted by law, each party's total liability under this Agreement is capped at $50. Neither party is liable for indirect, incidental, special, consequential, or punitive damages to the extent legally permissible.
NOTE FOR ATTORNEY REVIEW: This section is especially important and should be reviewed by a qualified attorney before use to ensure it is enforceable in your jurisdiction.
23. Indemnification
To the extent permitted by law, you agree to indemnify and hold JNJ Web Agency harmless from claims arising from your provided content, your unlawful use of services, your violation of this Agreement, or your infringement of third-party rights. This indemnification is balanced and applies only to the extent your acts or omissions cause the claim.
24. Copyright and DMCA / Intellectual Property Complaints
To report copyright or intellectual-property concerns involving a hosted website, contact us at jrbusiness790@gmail.com with the required identifying details.
We will review and respond to valid notices as required by law. We do not claim legal authority to make determinations that only a court or appropriate authority can make.
25. Changes to Services
We may update, modify, discontinue, or change portions of the services when reasonably necessary. We will communicate material changes to contractual terms through jrbusiness790@gmail.com in advance where reasonably possible.
26. Changes to Terms
We may update these Terms of Service from time to time. The current version and effective date appear at the top of this page. Continued use of services after changes take effect constitutes acceptance of the updated Terms. Version: 1.0; Effective date: August 15, 2026.
27. Dispute Resolution
The parties agree to first attempt to resolve any dispute through good-faith negotiation. Placeholders: County: Johnson County; State: Kansas.
We do not automatically require arbitration unless the business intentionally selects that option. The final process should be confirmed in writing and reviewed by an attorney.
28. Governing Law
This Agreement is governed by the laws of the State of KANSAS, USA, without regard to conflict-of-laws principles. Applicable law may vary depending on the customer's location and circumstances.
This governing-law provision is a placeholder and should be reviewed by a qualified attorney before use.
29. Severability
If any provision of this Agreement is found unenforceable, the remaining provisions remain effective to the extent permitted by law, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
30. Waiver
Failure by either party to enforce a provision on one occasion does not automatically waive the right to enforce it later.
31. Assignment
You may not transfer or assign this Agreement without our prior written consent. We may assign this Agreement in connection with a merger, acquisition, or reorganization. Any unauthorized assignment is void.
32. Entire Agreement
This Agreement, together with applicable statements of work, invoices, service plans, and other incorporated documents, represents the entire agreement between the parties regarding the services and supersedes prior discussions.
33. Electronic Signatures and Records
You may accept this Agreement electronically where legally permitted. We record: Customer name, email, date and time of acceptance, agreement version, and a checkbox confirming acceptance. IP address is recorded only if legally appropriate and actually collected.
Electronic acceptance has the same legal effect as a handwritten signature where permitted by law.
34. Order of Precedence
If a conflict exists between these Terms of Service, a Statement of Work, and an invoice or service plan, the controlling document is Terms of Service.
35. Service Plans Overview
We offer three monthly service plans. Each plan keeps your website hosted, secure, and online. The plan you select determines what is included and what is billed separately.
Essential ($79/mo): Includes website hosting, domain management, and security monitoring. It does not include updates, edits, or maintenance. If you want a change made to your website, an update fee of $5 to $20 applies depending on complexity, quoted before work begins.
Managed ($129/mo): Includes everything in Essential, plus ongoing maintenance and updates — routine content edits, plugin and platform updates, and minor changes to keep your site current. It does not include new feature development or major redesigns.
Complete ($179/mo): Includes everything in Managed, plus analytics reporting, more comprehensive maintenance, and priority support — our most hands-off plan for customers who want their website fully managed.
The exact services, limits, and features of each plan are defined in your order or invoice. Prices shown are placeholders and may be updated; the price in your active invoice controls.
